Paylocity API End User License Agreement
This API License Agreement (this "Agreement") is a binding contract between you ("you" or "your") and Paylocity Corporation ("Company," "we," or "us"). This Agreement, and the API Documentation, if any, govern your access to and use of Company application programming interfaces.
BY SUBMITTING AN ORDER FORM OR OTHER TRANSACTION DOCUMENT OR BY ACCESSING OR USING AN API, YOU: (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS.
1. Definitions
- "API" means any application programming interface and associated documentation provided by Company.
- "Company Systems" means the information technology infrastructure used by or on behalf of Company in providing software services.
- "Customer Data" means electronic data and information submitted by or for Customer to the Company Systems.
2. License Grant
Subject to and conditioned on your compliance with all terms and conditions set forth in this Agreement, Company hereby grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the API solely for your internal business operations in connection with Company software.
3. Use Restrictions
Except as expressly authorized under this Agreement, you may not:
- Copy, modify, or create derivative works of the API, in whole or in part;
- Rent, lease, lend, sell, license, sublicense, assign, distribute, publish, or transfer the API;
- Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive source code;
- Bypass or breach any security device or protection used by the API or Company Systems;
- Use the API in any manner or for any purpose that infringes or misappropriates any intellectual property rights.
Paylocity Developer Tools Terms of Service
This PAYLOCITY DEVELOPER TOOLS TERMS OF SERVICE (this “Agreement”) is a binding contract between you (“you,” “Developer,” or “your”) and Paylocity Corporation ("Company," "we," or "us"). This Agreement governs your access to and use of Company developer portal, sandboxes, sample code, and software development kits (SDKs).
BY REGISTERING AN ACCOUNT AND/OR LOGGING INTO THAT ACCOUNT ON THE PAYLOCITY DEVELOPER PLATFORM, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OLD AND HAVE THE AUTHORITY TO ENTER INTO THIS BINDING AGREEMENT ON BEHALF OF YOURSELF OR YOUR EMPLOYER.
1. Sandbox Environment & Rate Limits
Company grants Developer access to non-production sandbox environments strictly for testing and validation. Developer agrees to adhere to published API call rate limits, query pagination requirements, and authentication credential rotation protocols. Company reserves the right to throttle or terminate access in case of suspected abuse.
2. Security & Data Protection Obligations
Developer must maintain administrative, physical, and technical safeguards designed to prevent unauthorized access, use, or disclosure of data transmitted through Developer Applications. Any security incident impacting Developer systems that interface with Paylocity must be reported to security@paylocity.com within 24 hours of discovery.
Recognition & Rewards Terms and Conditions
Recognition & Rewards Additional Service Terms govern employer programs facilitating digital gift cards, experiential rewards, peer point allocations, and company-sponsored incentives within the Paylocity Community module.
Employer clients are solely responsible for compliance with federal and state tax reporting obligations regarding taxable employee fringe benefits resulting from distributed monetary and non-monetary awards. Reward points possess no cash value until redeemed through approved vendor catalogs.
Paylocity Card Program Agreement

These Paylocity Card Program Terms and Conditions (these "Terms") represent an agreement between each Account Owner, Authorized User, and Bank Partner issuing the Paylocity Prepaid Mastercard®.
The Paylocity Card is issued by licensed member depository financial institutions pursuant to a license by Mastercard International Incorporated. Funds loaded onto the Card are FDIC-insured up to applicable statutory limits once registered under the cardholder's verifiable identity.
1. Electronic Fund Transfers (EFT) Disclosure
Authorized users receive immediate push notifications regarding transactions. In the event of unauthorized card transactions or suspected compromise, cardholders must notify customer support immediately at 800-520-2687 or lock the card directly via the Paylocity Mobile App.
